A Limited Liability Company is a business form that is usually allowed to be taxed like a partnership with the added protection of limited liability.
Limited liability means that if the company is ever sued, the members of the LLC can't be held personally liable.
Below you will need to provide the following information:
- The name of the company (All names must end with "Limited Liability Company," "LLC," or "L.L.C.");
- How the company will be managed*;
- How many members of the company there are (or expected to be); and
- The name and contact information of the company's registered agent* (next page).
* An LLC can be managed by either a director, a manager, or its members.
* The registered agent is a person or other entity designated to receive "service of process" in the event the company is sued. The registered agent can be anybody or any other entity (including the LLC itself).
